Terms of Service

1. Interpretation

1.1In these Terms, the following definitions apply:

• “Agreement” means these Terms together with the Privacy Policy and the Data Processing Agreement.
• “You” means the person who connects an AI assistant to Otis and verifies an email address, and the business on whose behalf that person acts.
• “Service” means the Otis MCP server at mcp.otisbase.com, the website at otisbase.com, the agent documentation it publishes, and the Otis plugins.
• “Business Records” means the records your assistant saves through the Service: business settings, clients, work, expenses, invoices, payments, team access and their history.
• “Otisbase”, “we” or “us” means Boon IT SRL, a company registered in Romania under CUI 45987107, with its registered office in Cluj-Napoca, Romania, trading as Otisbase.

1.2Headings are for convenience only. “Including” means including without limitation.

2. Agreement and acceptance

2.1The Agreement is a binding contract between you and Otisbase.

2.2Connecting an AI assistant to the Service and verifying your email address means you accept the Agreement. If you act for a business, you accept it on that business’s behalf.

2.3The Privacy Policy and the Data Processing Agreement form part of the Agreement. Where your Business Records contain personal data of others, such as your clients, the Data Processing Agreement governs how we process it.

3. The Service

3.1Otis is an MCP server. Your AI assistant calls its tools to save and read Business Records. There is no app, dashboard or client portal.

3.2Otis runs no AI model. The assistant you connect does the reading, writing and reasoning, and is a third-party service governed by its own terms.

3.3We grant you a non-exclusive, non-transferable, revocable right to use the Service for your business, subject to the Agreement.

4. Free access and fair use

4.1The Service is free. We do not ask for a payment card and there is no trial period or end date.

4.2Use is subject to the fair-use limits published on the Pricing page. When a business reaches a limit, further requests are refused until the limit resets; no Business Records are deleted.

4.3If we offer paid features in future, they will be optional and added on top of the free Service. We will not charge you without your explicit agreement.

5. Eligibility and authority

5.1The Service is for business use by consultants, freelancers and small agencies. You must be at least 18 years old.

5.2If you act for a business, you confirm that you have the authority to bind it to the Agreement.

5.3An owner who invites people to a business is responsible for choosing who has access and for the roles they give.

6. Your Business Records

6.1As between you and us, your Business Records belong to you.

6.2We process Business Records only to provide the Service, as described in the Privacy Policy. We do not sell them and do not use them to train any model.

6.3You can export your Business Records and their history at any time by asking your assistant to use the export tool.

7. Your assistant and your responsibilities

7.1You are responsible for the instructions you give your assistant and for checking what it records. Otis checks arithmetic and record integrity, but it relies on the facts your assistant supplies.

7.2An invoice is issued only after you approve its exact contents and total. Documents such as PDFs or CSV files are produced by your assistant, not by Otis.

7.3Otis does not send invoices, collect payments or move money. Payments are recorded as you report them.

8. No tax, legal or accounting advice

8.1The tax guides in the Service are general, dated information. They are not tax, legal or accounting advice.

8.2You decide the tax treatment of your invoices and remain responsible for your own tax, accounting and invoicing obligations. Where they matter, check records against a qualified adviser or the authority you treat as authoritative.

9. Acceptable use

9.1You must not, and must not let anyone using your access:

• store data you have no right to process, or use the Service for unlawful, fraudulent or deceptive invoicing;
• attempt to access another business’s records, or get around authentication, roles or fair-use limits;
• interfere with, overload, scrape, resell or reverse-engineer the Service.

9.2We may suspend access where we reasonably believe this clause has been breached, and we will tell you why.

10. Availability and changes

10.1We use reasonable efforts to keep the Service available but offer no service level or uptime guarantee.

10.2The Service depends on Cloudflare and on the assistant you connect, which are outside our control.

10.3We may change or withdraw features. We will give you reasonable notice by email of any material change.

10.4If we decide to discontinue the Service, we will tell you by email at least 90 days before it closes. Throughout that period the Service, including the export tool, stays available, so you can take all your Business Records and their history with you.

11. Intellectual property and feedback

11.1The Service, including its software, brand and design, belongs to Otisbase. The Otis plugins are published under the MIT licence in the otis-plugins repository.

11.2If you send us feedback, including through the feedback tool, we may use it without restriction or obligation.

12. Warranties and disclaimers

12.1We provide the Service with reasonable skill and care.

12.2Apart from that, and to the fullest extent the law allows, the Service is provided “as is”. We do not warrant that it will be uninterrupted or error free, or that records your assistant saves will be accurate or complete.

13. Limitation of liability

13.1Nothing in the Agreement limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

13.2Subject to clause 13.1, we are not liable for indirect or consequential loss, or for loss of profit, business, revenue or data.

13.3Subject to clause 13.1, our total liability under the Agreement in any twelve months is limited to EUR 100, as the Service is provided free of charge.

14. Term and termination

14.1The Agreement starts when you first connect and continues until it ends under this clause.

14.2You may stop using the Service at any time by disconnecting your assistant. To have your account and Business Records deleted, write to privacy@otisbase.com.

14.3We may end your access if you materially breach the Agreement and do not remedy the breach within 14 days of notice, or immediately for serious or repeated breach of section 9.

14.4Sections 11, 12, 13 and 17 survive termination.

15. Amendments

15.1We may amend these Terms. The date above changes with each amendment.

15.2We will tell you by email before a material amendment takes effect. Continuing to use the Service afterwards means you accept it.

16. General provisions

16.1The Agreement is the entire agreement between us about the Service.

16.2You may not assign the Agreement without our consent. We may assign it to a successor in a merger or sale of the business.

16.3If any provision is invalid, the rest remains in force. A delay in exercising a right is not a waiver of it.

16.4We may send notices to the email address you verified. Send notices to us at the address in section 18.

17. Governing law and jurisdiction

17.1The Agreement and any dispute about it are governed by the laws of Romania.

17.2The courts of Romania have exclusive jurisdiction, without affecting any mandatory rights you have where you live.
